These Terms & Conditions govern the private labeling and bulk manufacturing services provided by Rohini’s Food Products (RFP) to clients. By engaging with our services, placing an order, or entering into a private label agreement with us, you agree to comply with the following terms. If you do not agree, please refrain from using our services.

All orders are subject to Minimum Order Quantity (MOQ) requirements, which vary based on the product type and packaging. Product formulations, packaging designs, and labeling must be finalized before production. Custom formulations requested by clients may require additional R&D and approval timelines. Any changes to formulations, packaging, or branding after order confirmation may result in additional costs and production delays. Payments must be made as per the agreed terms—typically 50% advance and 50% before dispatch, unless otherwise specified. Prices are subject to change based on raw material costs, government taxes, and market conditions.

Production timelines will be communicated based on order volume, raw material availability, and customization requirements. While we strive to meet agreed delivery schedules, RFP is not liable for delays due to unforeseen circumstances such as raw material shortages, regulatory approvals, transportation issues, or force majeure events. Risk of loss and title of goods transfer to the buyer upon dispatch from our facility.

Private label clients are responsible for ensuring that their branding, packaging, and label designs comply with local and international regulations. RFP is not liable for legal or compliance issues related to the client’s brand name, logo, or marketing claims. All intellectual property related to custom formulations developed exclusively for a client remains the property of the client, while standard formulations remain the property of RFP.

Returns and refunds are not accepted for private label orders unless there is a manufacturing defect or quality issue that is reported within 7 days of delivery. Complaints must be submitted with valid proof (photos, batch numbers) for review. RFP reserves the right to reject refund or replacement claims if the issue arises due to improper storage, handling, or third-party transportation.

All trademarks, branding, formulations, and proprietary information provided by either party shall remain confidential and shall not be disclosed to third parties without written consent. Both parties agree to maintain strict confidentiality regarding business operations, pricing, and formulations.

We reserve the right to update these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the updated terms. For any disputes, legal matters shall be governed by the laws of Tamil Nadu, India, and subject to the jurisdiction of Chennai courts.
